Terms and Conditions

Welcome to Pronexis (“Company,” “we,” “our,” or “us”). These Terms and Conditions (“Terms”) govern your access to and use of www.pronexis.com (the “Site”).
By accessing or using the Site, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Site.
1. Eligibility
You must be at least 18 years old and have the legal capacity to enter into a binding agreement to access or use the Site.
2. Use of the Website
You agree to use the Site only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the Site in any manner that violates any applicable law or regulation
- Attempt to gain unauthorized access to any system, server, data, or network
- Interfere with or disrupt the integrity, availability, or performance of the Site
- Use bots, crawlers, scrapers, or other automated means to access or monitor the Site without authorization
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive source code or underlying technology from the Site

- Use the Site in a way that could damage, disable, overburden, or impair the Site or our systems
We reserve the right to suspend, restrict, or terminate access to the Site at any time for any violation of these Terms or for any reason permitted by law.
3. No Service or Client Relationship
Use of the Site does not create any client, customer, vendor, partnership, employment, agency, franchise, or other service relationship between you and Pronexis.
Any services offered by Pronexis, including but not limited to call center services, lead generation services, marketing support, technology-enabled services, AI-related services, or related business services, are governed exclusively by separate written agreements executed by the relevant parties
4. Intellectual Property Rights
All content, materials, and features available on or through the Site, including text, graphics, logos, icons, images, audio, video, software, interface elements, design, layout, and overall appearance, are owned by Pronexis or its licensors and are protected by intellectual property, trademark, copyright, trade dress, and other applicable laws.
Subject to these Terms, Pronexis grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Site solely for informational and legitimate business purposes. No ownership rights are transferred to you.
You may not reproduce, distribute, publish, display, modify, create derivative works from, republish, sell, license, or exploit any content from the Site without our prior written consent.
5. User Submissions and Communications
If you submit information through the Site, including through forms, email, chat, or other communication channels:
- You represent that the information you provide is accurate and that you have the right to provide it
- You grant Pronexis the right to use the information to respond to your inquiry, operate our business, and provide information or services you request
- You agree not to submit confidential, proprietary, or sensitive information unless specifically requested by Pronexis
Unless expressly agreed otherwise in writing, unsolicited submissions will not be treated as confidential or proprietary.
6. Third-Party Services and Links
The Site may contain links to third-party websites, tools, platforms, or services. Pronexis does not control and is not responsible for the content, availability, accuracy, privacy practices, or policies of third parties.
Any access to or use of third-party services is at your own risk, and your interactions with such third parties are governed by their own terms and policies.
7. Disclaimer of Warranties
The Site and all content, features, and materials made available through it are provided on an “as is” and “as available” basis.
To the fullest extent permitted by law, Pronexis disclaims all warranties, express, implied, statutory, or otherwise, including any warranties of:
- Merchantability
- Fitness for a particular purpose
- Non-infringement
- Accuracy
- Completeness
- Reliability
- Availability
- Security
Pronexis does not warrant that the Site will be uninterrupted, error-free, secure, or free from viruses or other harmful components.
8. Limitation of Liability
To the fullest extent permitted by applicable law, Pronexis and its affiliates, officers, directors, employees, agents, licensors, and service providers shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages arising out of or relating to your use of, or inability to use, the Site
This limitation includes damages for:
- Loss of profits
- Loss of revenue
- Loss of business opportunities
- Loss of data
- Business interruption
- Reputational harm
In no event shall Pronexis’s total aggregate liability arising out of or relating to the Site or these Terms exceed one hundred U.S. dollars (USD $100), regardless of the legal theory asserted.
9. Indemnification
You agree to indemnify, defend, and hold harmless Pronexis and its affiliates, officers, directors, employees, agents, licensors, and service providers from and against any claims, demands, actions, damages, losses, liabilities, judgments, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:
- Your use or misuse of the Site
- Your violation of these Terms
- Your violation of any applicable law
- Your violation of any rights of a third party
10. Data and Privacy
Your use of the Site is subject to our Privacy Policy, which describes how we collect, use, and protect information.
By using the Site, you acknowledge that:
- Internet communications are not fully secure
- Electronic transmissions may be intercepted or accessed by unauthorized parties
- Pronexis cannot guarantee absolute security

12. Acceptable Use Restrictions
You agree not to:
- Use the Site for competitive monitoring, competitive intelligence, benchmarking, or analysis without written permission

- Misrepresent your identity or affiliation with any person or entity

Pronexis shall not be liable for any modification, suspension, interruption, or discontinuation of the Site.
14. Changes to Terms
We may revise these Terms at any time by posting updated Terms on the Site and updating the Effective Date. Your continued use of the Site after any revised Terms are posted constitutes your acceptance of those revised Terms.
15. Governing Law and Jurisdiction
These Terms and any dispute arising out of or relating to the Site or these Terms shall be governed by and construed in accordance with the laws of the State of Utah, without regard to conflict of law principles.
Any legal action or proceeding arising out of or relating to these Terms or the Site shall be brought exclusively in the state or federal courts located in Utah, and you consent to the jurisdiction and venue of those courts.
16. Dispute Resolution
To the extent permitted by law, Pronexis may elect, in its sole discretion, to require that any dispute arising out of or relating to these Terms or the Site be resolved through binding arbitration rather than litigation, except for claims eligible for small claims court or requests for injunctive relief.
If arbitration is elected, the arbitration shall be conducted in accordance with applicable arbitration rules and procedures, and judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction.
17. Severability
If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision shall be enforced to the maximum extent permitted by law, and the remaining provisions shall remain in full force and effect.
18. Entire Agreement
These Terms constitute the entire agreement between you and Pronexis regarding your use of the Site and supersede all prior or contemporaneous communications, understandings, and agreements relating to that subject matter.
